PREAMBLE

These General Terms of Use and Service (hereinafter the “Terms”) govern the conditions of access to and use of the ShineUp platform, available through its website and mobile applications.

ShineUp is a digital matchmaking platform that enables businesses (restaurants, cafés, hotels, beauty salons, gyms, brands, leisure venues and other professionals) to collaborate with content creators and influencers in order to grow their visibility on social media.

The platform notably allows:

  • •the discovery of partner businesses;
  • •the publication of experiences offered by businesses;
  • •the sending of booking requests by creators;
  • •the management of collaborations;
  • •the delivery of the content produced;
  • •communication between users;
  • •the tracking of collaborations from their creation through to their validation.

ShineUp acts solely as a technical intermediary providing a digital platform.

ShineUp is neither an employer, nor an influence agency, nor a representative of users, and does not take part in any contractual relationship that may exist between a creator and a business beyond the features offered by the platform.

Use of ShineUp implies the unreserved acceptance of these General Terms.

The ShineUp platform is published by:

PURPOSE OF THE GENERAL TERMS

The purpose of these General Terms is to define the conditions under which users may access the services offered by ShineUp.

They notably define:

  • •the conditions for creating an account;
  • •the rights and obligations of users;
  • •the rules applicable to collaborations;
  • •how the platform operates;
  • •the responsibilities of each party.

By using ShineUp, each user acknowledges having read these Terms and undertakes to comply with them throughout the entire period of use of the platform.

DEFINITIONS

For the purposes of these General Terms, the terms below shall have the following meanings:

  • •Platform: the ShineUp platform accessible via the website as well as the mobile applications published by ShineUp.
  • •User: any person holding an account on the platform.
  • •Creator: any natural person registered on ShineUp in order to take part in experiences and produce photographic or video content intended for social media (includes photo content creators, video content creators and influencers).
  • •Business: any legal entity or natural person operating a business, brand or professional activity that offers experiences via ShineUp.
  • •Collaboration: any interaction between a Creator and a Business carried out via the platform in connection with an accepted booking.
  • •Booking: a request made by a Creator in order to take part in an experience offered by a Business.
  • •Experience: a service offered by a Business and made available to Creators via ShineUp.
  • •Content: any photograph, video, story, post or other digital content produced by a Creator in connection with a Collaboration.
  • •Account: a secure personal space allowing a User to access ShineUp's features.

DESCRIPTION OF THE SERVICES

ShineUp provides a platform designed to facilitate collaborations between Creators and Businesses.

Depending on their profile, users may in particular access the following features.

For Creators

A Creator may in particular:

  • •create their profile;
  • •provide their social media accounts;
  • •complete their portfolio;
  • •discover partner businesses;
  • •search for experiences;
  • •send booking requests;
  • •communicate with businesses via messaging;
  • •review the status of their collaborations;
  • •deliver the content produced;
  • •receive notifications regarding their collaborations.

Access to certain features may be subject to prior validation of the profile by ShineUp.

For Businesses

A Business may in particular:

  • •create its business profile;
  • •present its activity;
  • •define the conditions of its experiences;
  • •receive booking requests;
  • •accept or decline requests;
  • •communicate with creators in connection with an ongoing booking;
  • •review the content delivered;
  • •access a gallery collecting the content produced through collaborations.

Shared services

All users may in particular benefit from:

  • •built-in messaging;
  • •a notification system;
  • •a history of collaborations;
  • •secure access to their account.

ShineUp reserves the right to change the platform's features at any time in order to improve the user experience.

ACCEPTANCE OF THE GENERAL TERMS

Access to ShineUp is reserved for users who have accepted these General Terms.

When creating an account, the user acknowledges that they:

  • •have read these Terms;
  • •understand them;
  • •accept them without reservation.

If a user refuses all or part of these Terms, they may not use the platform.

ShineUp may, at any time, require renewed acceptance of the General Terms in the event of a substantial update.

CREATION, VERIFICATION AND MANAGEMENT OF THE USER ACCOUNT

7.1 Registration requirements

Use of the Services offered by ShineUp is subject to the prior creation of a personal Account.

When registering, the User undertakes to provide accurate, truthful, complete and regularly updated information.

The User is solely responsible for the information entered on their Account.

Any Account created using false, misleading, usurped or third-party information may result in the immediate suspension or deletion of the Account, without prejudice to any action ShineUp may take.

Registration is strictly personal.

Creating an Account on behalf of a third party is prohibited, except with the express authorization of ShineUp.

7.2 Account types

The Platform distinguishes between several categories of Users.

a) Photo Creator

A User who mainly produces photographic content. The Photo Creator may be required to provide a portfolio or any material enabling the quality of their work to be assessed.

b) Video Creator

A User who mainly produces video content. They may be asked to provide a video showreel or any other demonstration of their skills.

c) Influencer

A User with an active community on one or more social platforms. ShineUp may request access to the social accounts in order to verify the authenticity of the audience as well as the publicly available statistics.

d) Business

A professional representing a business, brand or company wishing to offer experiences to Creators. The Business is responsible for all actions carried out from its Account.

7.3 Account validation

In order to maintain the quality of the Platform, ShineUp may carry out a prior verification of any Account.

This verification may in particular concern:

  • •the User's identity;
  • •the consistency of the information provided;
  • •the social media accounts submitted;
  • •the portfolio;
  • •the content published;
  • •the overall quality of the profile.

ShineUp remains free to accept or decline any registration request.

No refusal of registration shall give rise to any compensation.

7.4 Account security

Each User is solely responsible for keeping their credentials confidential.

They undertake to take all necessary measures to prevent any fraudulent use of their Account.

Any activity carried out from an Account is deemed to have been performed by its holder.

In the event of suspected unauthorized use, the User must inform ShineUp as soon as possible.

7.5 Personal use

The Account is strictly personal.

It is prohibited to:

  • •sell one's Account;
  • •rent it;
  • •transfer it;
  • •share it with a third party;
  • •allow several people to use the same Account.

ShineUp may suspend any Account that is used abnormally.

7.6 Updating information

The User undertakes to keep their information up to date throughout the entire period of use of the Platform.

Any change concerning in particular:

  • •their identity;
  • •their business;
  • •their contact details;
  • •their social media accounts;
  • •or any important information,

must be made as soon as possible.

8

CREATORS' OBLIGATIONS

The Creator acknowledges that the quality of the collaborations offered via ShineUp depends on honoring the commitments made towards Businesses.

In this respect, they undertake in particular to:

  • •make only genuine booking requests;
  • •comply with the confirmed schedules;
  • •behave respectfully towards the business's staff;
  • •comply with the internal rules of the venue visited;
  • •produce content matching the conditions stated at the time of booking;
  • •deliver the content within the agreed deadlines;
  • •communicate honestly and transparently.

The Creator undertakes in particular not to:

  • •use the Platform for fraudulent purposes;
  • •obtain multiple experiences under different identities;
  • •book without any genuine intention of producing the requested content;
  • •deliver content belonging to a third party;
  • •use artificially generated content where authentic content is required;
  • •publish content that infringes the rights of others.

The Creator remains solely responsible for the posts they make on social media.

8.1 Compliance with the conditions specific to each collaboration

Each experience offered on ShineUp may provide for specific conditions defined by the Business.

These conditions may in particular concern:

  • •the type of content expected;
  • •the number of pieces of content to produce;
  • •the social media platforms concerned;
  • •the accounts to be tagged;
  • •the maximum publication deadline;
  • •the mandatory mentions;
  • •the attendance requirements.

The Creator acknowledges having read these conditions before making any booking.

Accepting a booking constitutes a commitment to comply with these conditions.

8.2 Delivery deadlines

Where the booking provides for the delivery of content via ShineUp, the Creator undertakes to deliver it within the deadline indicated on the Platform.

In the event of delay, ShineUp may:

  • •send one or more reminders;
  • •temporarily restrict certain features;
  • •suspend the ability to make new bookings;
  • •suspend the Account in the event of repeated breaches.

These measures are intended solely to ensure the proper functioning of the Platform.

8.3 Authenticity of content

The content delivered must be:

  • •produced by the Creator themselves;
  • •consistent with the experience actually undertaken;
  • •sufficiently usable;
  • •free of any unlawful content.

It is prohibited to deliver:

  • •content belonging to a third party;
  • •automatically generated content without appropriate disclosure;
  • •content that does not correspond to the booked experience.

BUSINESSES' OBLIGATIONS

Businesses undertake to use ShineUp in good faith and in compliance with these Terms.

They undertake in particular to:

  • •provide accurate information about their activity;
  • •faithfully present the experiences offered;
  • •welcome Creators under conditions consistent with the published offer;
  • •handle booking requests diligently;
  • •honor the commitments made when accepting a booking.

The Business remains solely responsible for:

  • •its staff;
  • •the services provided;
  • •the reception given to Creators;
  • •the information shown on its profile.

9.1 Accepting or declining bookings

Each Business remains entirely free to:

  • •accept a request;
  • •decline it;
  • •propose another time slot where this feature is available.

No particular justification is required.

The absence of a response within a reasonable time may result in the automatic expiry of the request.

9.2 Fair use of the Platform

The Business undertakes not to:

  • •directly solicit Creators in order to circumvent ShineUp;
  • •use the contact details obtained via the Platform for purposes unrelated to the collaboration;
  • •publish false information;
  • •engage in discriminatory or disrespectful behavior.

Any behavior undermining the proper functioning of ShineUp may result in the suspension of the Account.

HOW BOOKINGS AND COLLABORATIONS WORK

Bookings are the main mechanism for connecting Creators and Businesses.

Their operation is entirely managed by the Platform.

A booking includes several successive steps that may in particular include:

  • •viewing an experience;
  • •sending a request;
  • •acceptance or refusal by the Business;
  • •carrying out the experience;
  • •confirmation of attendance in accordance with the terms provided by ShineUp;
  • •the possible delivery of content;
  • •its validation;
  • •the closing of the collaboration.

The various statuses displayed in the application are purely informational and allow Users to track the progress of their collaborations.

They do not constitute an acknowledgment of liability or a guarantee of results.

In the event of cancellation, modification or inability to carry out an experience, Users are invited to use the features provided by the Platform in order to inform the other party as soon as possible.

ShineUp never guarantees that a booking request will be accepted or that a collaboration will actually be completed.

Each User remains free to accept or decline a collaboration in compliance with these Terms.

SHINEUP'S ROLE AND RESPONSIBILITY

ShineUp:

  • •facilitates the connection between users,
  • •provides technical tools for management, booking and tracking,
  • •does not take part in the creation of content or in the agreements concluded between users.

ShineUp cannot be held liable for:

  • •content published by users,
  • •the cancellation of, or failure to honor, an appointment,
  • •disputes or disagreements between users.

CONTENT AND RIGHTS

Creators remain the full owners of their content.

By using ShineUp, users authorize ShineUp to:

  • •display the content on the platform,
  • •use it for the purposes of demonstrating, communicating about or promoting ShineUp,
  • •without any direct commercial exploitation of the content without prior agreement.

PAID SERVICES – CLIENT SUBSCRIPTIONS

13.1 Subscription

Full access to certain ShineUp features requires the purchase of a paid subscription.

The subscription takes effect on the date of purchase and payment (or of reactivation). Unless otherwise agreed, the subscription is billed in monthly cycles and renewed automatically.

The Client authorizes ShineUp to charge the subscription fees to the payment method provided.

13.2 Term – Renewal – Termination

The subscription is entered into for a minimum term of twelve (12) months, unless otherwise specifically agreed.

It is tacitly renewed at each expiry for an identical term.

Any early termination renders the full amount of the sums remaining due until the end of the commitment immediately payable.

Any request for non-renewal must be submitted at least 30 days before the expiry date.

13.3 Payment default

In the event of a declined or failed payment:

  • •the sums remain due,
  • •ShineUp may suspend access to the Services,
  • •and make further attempts to charge the payment.

In the event of repeated incidents, ShineUp reserves the right to terminate the subscription without notice.

PRICING – BILLING

  • •The applicable prices are those in force on the day of subscription.
  • •Prices are stated exclusive of tax, unless otherwise indicated.
  • •An invoice is issued according to the agreed frequency (monthly or annual).

PAYMENT TERMS

Payment is made exclusively by means of a valid payment method. The Client undertakes to:

  • •keep their payment information up to date,
  • •settle any unpaid amount within 5 business days.

In the event of late payment, penalties and collection fees may be applied.

PRICE CHANGES – PROMOTIONS

ShineUp reserves the right to adjust its prices. Any change will take effect at the next billing cycle after the Client has been informed.

ShineUp may occasionally offer promotional deals or specific benefits subject to particular conditions.

17

PERSONAL DATA – PRIVACY POLICY

ShineUp attaches particular importance to the protection of your personal data. This section constitutes the platform's privacy policy and describes the data collected, its purposes, how long it is retained, as well as your rights.

17.1 Data collected

Depending on your use of the platform, ShineUp may collect:

  • •Account data: email address and phone number, provided at registration.
  • •Location data: your geographic position, used only with your consent, in order to display nearby businesses and opportunities.
  • •Photos and videos: the media you choose to upload from your device to build your portfolio or deliver content.
  • •Notification token (push token): a technical identifier enabling the sending of notifications relating to your bookings and messaging.
  • •Technical and diagnostic data: information relating to application incidents and performance (see 17.3).

17.2 Purposes of processing

This data is processed exclusively to:

  • •create and manage your user account,
  • •ensure the operation of the services (bookings, collaborations, messaging, portfolio),
  • •send you notifications related to your activity,
  • •display relevant nearby content and businesses,
  • •improve the stability and security of the platform.

17.3 Service providers and data sharing

ShineUp uses technical service providers acting as processors, in particular Sentry (application error and performance analysis). These providers process data only on behalf of ShineUp and in accordance with its instructions.

Your personal data is neither sold, rented, nor used for purposes unrelated to the service. No data is used for advertising tracking purposes.

17.4 Retention period

Data is retained for the entire period during which your account is used. If the account is deleted, the data is deleted or anonymized, unless there is a legal obligation to retain it.

17.5 Your rights

In accordance with the applicable regulations, you have the right to access, rectify, object to and delete your personal data.

You may delete your account and all associated data at any time directly from the application (Settings › Delete my account).

LIMITATION OF LIABILITY

ShineUp cannot be held liable for indirect damages, financial losses, loss of opportunity or disputes between users.

ShineUp's liability is strictly limited to its role as a technical platform.

19

MODIFICATION – SUSPENSION – TERMINATION

ShineUp reserves the right to modify these General Terms.

The user may delete their account at any time.

ShineUp may suspend or terminate an account for:

  • •breach of these terms,
  • •fraudulent or abusive use,
  • •legal or security reasons.
20

GOVERNING LAW – DISPUTES

These Terms are governed by Tunisian law.

In the event of a dispute, an attempt at amicable resolution will be favored before any legal action.

ZERO TOLERANCE – ABUSIVE CONTENT AND BEHAVIOR

ShineUp applies a zero-tolerance policy towards objectionable content and abusive behavior in the application's messaging.

Any user can, directly from a conversation, report a message or block the person they are talking to. Reports are reviewed by our team within 24 hours, and offending accounts may be suspended or deleted.
